Agreement to terms
These Terms of Service (“Terms”) govern your access to and use of bookkeeping, reporting, and related services (“Services”) provided by Easy Ledger (“we,” “us,” or “our”). By engaging us, signing a statement of work or service agreement, or continuing to use our Services after we provide notice of updated Terms, you agree to be bound by these Terms and the terms of any separate written agreement between you and Easy Ledger.
If you do not agree, you must not use our Services. Where these Terms conflict with a signed agreement for a specific engagement, the signed agreement controls for that engagement.
Services & scope
What we provide
We deliver outsourced bookkeeping, reconciliation, financial reporting, payroll support (where agreed), and related operational finance support as described in your proposal, scope of work, or service package. Deliverables, deadlines, and software access are defined in writing for each client.
What we do not provide
Unless separately engaged in writing, we do not provide legal advice, audit or assurance services, investment advice, or definitive tax positions. Tax-related assistance is informational and preparatory only; you remain responsible for your filings and for consulting a qualified CPA or tax professional where required.
Client responsibilities
You agree to provide timely, accurate, and complete information and documentation; maintain authorized access to banks, accounting software, and integrations we need; designate a primary contact with authority to make decisions; and notify us promptly of material business changes that affect the books (e.g., new entities, loans, payroll changes, or significant transactions).
You are responsible for reviewing deliverables we provide and raising questions within a reasonable time. Delays in your responses may affect timelines and may incur additional fees if out of scope.
Fees & payment
Fees are as stated in your agreement (fixed recurring, project, or other model). Invoices are due on the terms stated on each invoice unless otherwise agreed in writing. Late payments may incur finance charges or suspension of Services as permitted by law and your agreement.
Work outside the agreed scope, rush requests, or exceptional clean-up volumes may be quoted separately. You authorize us to charge approved payment methods on file where applicable.
Limitation of liability
To the fullest extent permitted by applicable law, Easy Ledger and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising from or related to the Services—even if we have been advised of the possibility of such damages.
Our aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the total fees you paid to Easy Ledger for the Services in the three (3) months preceding the event giving rise to the claim, except where liability cannot be limited by law.
Confidentiality & data
We treat your information in line with our Privacy Policy. You agree not to disclose our proprietary processes, templates, or pricing terms to third parties without consent, except as required by law or professional advisors bound by confidentiality.
Term & termination
Either party may terminate an engagement as set forth in your service agreement or, if none is specified, upon reasonable written notice. You remain responsible for fees earned and expenses incurred through the effective date of termination. We may suspend or end Services immediately if fees are significantly overdue, if required by law, or if continuing would create a conflict of interest we cannot reasonably resolve.
Changes to these terms
We may update these Terms periodically. When we do, we will revise the “Last updated” date above. Material changes may be communicated by email or through your client portal. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms, except where your signed agreement requires separate consent.
Governing law
These Terms are governed by the laws of the jurisdiction specified in your written service agreement with Easy Ledger. If no jurisdiction is specified, the laws of the State in which Easy Ledger operates apply, without regard to conflict-of-law principles, except where mandatory consumer or business protections in your location cannot be waived.
